TERMS AND CONDITIONS FOR CHAD APP

Welcome to Chad App (hereinafter referred to as the "App," "we," "us," or "our"). These Terms and Conditions (the "Terms") govern your access to and use of the App, related services, and any content generated by the App (collectively, the "Services"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the App.

1. DESCRIPTION OF THE SERVICE

1.1 Text Generation

The App provides automated text generation services based on screenshots or inputs provided by you ("Generations"). The Generations are intended for entertainment purposes only and must not be relied upon for financial, medical, business, legal, or any other professional or important decision-making.

1.2 Free Usage

Each user is granted 30 free Generations. Once you have used your 30 free Generations, further access to the App's text generation functionality will be restricted unless you purchase a Pro Access subscription.

1.3 Pro Access

By purchasing Pro Access, you gain unlimited Generations. However, we do not guarantee the App's uptime, quality of Generations, or availability of the Services at all times.

2. ELIGIBILITY

2.1

You must be at least the age of majority in your jurisdiction to use the App. By using the Services, you represent and warrant that you are legally capable of entering into binding contracts and meeting all eligibility requirements.

2.2

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. USER RESPONSIBILITIES

3.1 Accurate Information

You agree to provide accurate and up-to-date information when creating an account or using the Services.

3.2 Compliance with Laws

You are responsible for complying with all applicable laws and regulations in your jurisdiction, including but not limited to data protection, privacy, intellectual property, and export control laws.

3.3 Prohibited Conduct

You agree not to use the Services in a manner that (a) violates these Terms, (b) infringes the rights of third parties, (c) is unlawful, obscene, defamatory, harassing, or otherwise objectionable, or (d) could damage, disable, overburden, or impair the functioning of the App.

4. INTELLECTUAL PROPERTY

4.1 Ownership

All content, features, and functionality provided in the App (excluding user-generated content) are owned by or licensed to us and are protected by applicable intellectual property laws.

4.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for personal, non-commercial, and lawful purposes, in accordance with these Terms.

4.3 No Rights Granted

No right, title, or interest in or to the Services, Generations, or any content on the App is transferred to you, and all rights not expressly granted are reserved by us.

5. DISCLAIMER OF WARRANTIES

5.1 Entertainment-Only Purpose

All Generations are provided for entertainment purposes only. You acknowledge and agree that you must not use the Generations as a basis for financial, medical, business, legal, or any other decisions with material consequences.

5.2 No Guarantee of Uptime or Reliability

While we strive to keep the App running smoothly, we do not guarantee continuous, uninterrupted, or secure access to the Services. The operation of the App may be subject to interference from numerous factors outside our control, including high demand, hardware or software failures, or other technical issues.

5.3 As-Is, As-Available

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. LIMITATION OF LIABILITY

6.1 No Liability for Generations

You expressly acknowledge and agree that we are not liable for any Generations produced by the App. You assume full responsibility for any actions taken based on the Generations and shall hold us harmless from any and all claims, liabilities, damages, or expenses arising from or related to your use of such Generations.

6.2 No Liability for Damages

In no event shall we, our affiliates, or our licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Services;
• Unauthorized access to or alteration of your transmissions or data;
• Statements or conduct of any third party on the App;
• Any other matter related to the Services.

6.3 Maximum Liability

In jurisdictions where limitations of liability are not fully permitted, our liability shall be limited to the greatest extent permitted by law. In no event shall our total liability to you exceed the amount you have paid, if any, to access the Services.

6.4 Applicability

The foregoing limitations apply to the fullest extent permitted by law in the applicable jurisdiction, including within the European Union.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these Terms or your use of the Services.

8. MODIFICATIONS TO THE TERMS

We reserve the right to modify these Terms at any time. If we make any material changes, we will provide notice through the App or by other means. Your continued use of the Services after any modifications indicates your acceptance of the modified Terms.

9. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the European Union and, where applicable, the laws of the country of your residence. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in your country of residence, to the extent permitted by applicable law.

10. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible under applicable law, and the remaining provisions shall continue in full force and effect.

11. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and us regarding your use of the App and supersede all prior or contemporaneous understandings, whether written or oral. Any failure by us to enforce any provision of these Terms shall not be construed as a waiver of any provision or right.
